This document establishes the framework for your interaction with our digital ecosystem, ensuring clarity and protection for both parties involved in our creative collaborations.
By registering an account or utilizing any services provided by Psirgent, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must immediately cease using our platform and services. These terms constitute a legally binding agreement between you (the User) and Psirgent (the Company).
As a user of the Psirgent platform, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You must not use Psirgent services for any illegal or unauthorized purpose. This includes but is not limited to: unauthorized access to our systems, distribution of malicious code, or infringement of our intellectual property rights. Violation of any of these terms will result in termination of your account and potential legal action.
All content, features, and functionality on the Psirgent platform, including our distinctive 'Pixel Universe' design language, cyan neon aesthetics, and visual assets, are the exclusive property of Psirgent and are protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any part of our services without explicit written permission.
For clients commissioning custom development work, ownership of specific deliverables will be outlined in separate Service Agreements. However, Psirgent retains all rights to methodologies, tools, and generic assets used in the creation process. Any feedback or suggestions provided by users regarding our platform becomes the property of Psirgent.
All pricing for Psirgent services is clearly indicated on our Services page. For premium development packages, payment terms are typically 50% upfront and 50% upon completion, unless otherwise specified in a custom contract. All payments are processed through secure third-party payment processors, and we do not store credit card information on our servers.
Essential provisions governing your use of Psirgent services
Psirgent shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use our services. This includes loss of data, profits, or business interruption. Our total liability shall not exceed the amount paid by you to Psirgent in the 12 months preceding the claim. We do not guarantee uninterrupted or secure access to our services, though we strive to maintain 99.9% uptime.
Either party may terminate this agreement with written notice. Psirgent reserves the right to suspend or terminate accounts immediately, without prior notice or liability, for any reason whatsoever, including but not limited to breach of these Terms. Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services.
These Terms shall be governed and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of Psirgent services shall be resolved exclusively in the courts located in Daegu, South Korea. By using our services, you consent to the personal jurisdiction of such courts.
You agree to indemnify, defend, and hold harmless Psirgent, its officers, directors, employees, and agents from any and all claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party. This obligation survives the termination of these Terms and your use of the Services.
Psirgent reserves the right to modify, suspend, or discontinue any aspect of our services at any time, including the availability of any feature, database, or content. We may also impose limits on certain features and services or restrict your access to parts or all of the Services without notice or liability. Continuous use of the Services following any changes constitutes acceptance of those changes.
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the business relationship. This includes source code, design methodologies, pricing structures, and client lists. Confidentiality obligations shall survive termination of this agreement for a period of five (5) years, or indefinitely for trade secrets as defined under applicable law.
